Terms of Service

Profit Solutions Pro, Inc., a Florida corporation, doing business as Profit Solutions. Effective November 15, 2026. Version 7.0, replacing version 6.0 (January 6, 2026).

These terms apply to every service Profit Solutions provides and to your use of profitsolutions.com and go.profitsolutions.com. When you sign an engagement letter, sign up on our website, or use our services, you agree to them. Your engagement letter describes the specific work and fee for your business; if it conflicts with these terms, the engagement letter controls for that work.

We wrote this in plain language on purpose. It is still a contract.

1. Who we are and what we do

Profit Solutions is a bookkeeping, accounting, payroll and tax firm with its office at 300 E. University Ave., Suite 410B, Gainesville, Florida 32601. Our services are monthly bookkeeping, payroll processing and payroll tax filings, Florida sales and use tax returns, financial statements, budgets and monthly meetings, business and individual tax return preparation, and help getting current with the IRS and the Florida Department of Revenue. Tax returns we prepare are signed by an Enrolled Agent.

We are not a CPA firm and do not perform audits, reviews or compilations under attestation standards. We are not attorneys and do not give legal advice. We are not investment advisers.

2. Your engagement letter

Every client has an engagement letter that says what we will do, what it costs, when it is billed and how to reach us. For clients who sign up on go.profitsolutions.com, the plan you choose, the summary you accept and your electronic signature on that page together form your engagement letter, and a copy is emailed to you.

Work outside the engagement letter, such as catch-up bookkeeping for months before you signed up, tax returns for prior years, responding to a government notice about a prior period, or a second company, is quoted separately in writing before it starts.

3. Fees, billing and the free month

Monthly plans are billed on the 1st of each month, in advance, for that month, to the bank account or card you keep on file with us. A card or bank account on file is a condition of monthly service.

Free month. When an offer gives you a free first month, it works like this: your first 30 days from signup are free. On the day after, we charge a prorated amount for the rest of that calendar month (the plan price times the days remaining in the month, divided by the days in the month). From the 1st of the following month, the full plan price is charged on the 1st of every month. If the day after your 30 days is the 1st, there is no prorated charge. If your business is not yet open, the 30 days run from the opening date you give us. The sign-up page and your receipt show your exact dates and amounts before you sign. The free month covers the monthly plan only; it does not cover work described in section 2 as quoted separately.

Card surcharge. Payments by credit card carry a 3% surcharge, which is shown on each charge. There is no surcharge on debit cards or bank account (ACH) payments.

Failed payments. If a charge fails, we will tell you and retry it. If it is not paid within 10 days, we may pause work until it is, and we are not responsible for deadlines missed while work is paused for non-payment.

Price changes. We may change the monthly fee with at least 30 days’ written notice. If you do not want the new fee, you may cancel under section 4 before it takes effect.

Fees for other work are as stated in the written quote you accept, and are due when invoiced unless the quote says otherwise.

4. Month to month: cancelling

Monthly plans have no minimum term. Either of us may end the engagement with 30 days’ written notice; email to support@profitsolutions.com is written notice. Because we bill by calendar month, service and billing end on the last day of the month in which your 30-day notice period ends, and the last charge is the 1st of that month. For example, notice sent on November 10 ends service on December 31; notice sent on December 2 ends service on January 31. If you cancel within your free 30 days, you owe nothing; if you cancel after the prorated charge, nothing further is billed.

When the engagement ends we will give you your books and records in the usual formats, including transferring your QuickBooks Online file to you if we hold it, once your account is paid in full. We may keep copies as the law and our professional standards require.

We may end an engagement sooner, with written notice, if you do not provide the information or access we need to do the work, if you ask us to do something we believe is improper or unlawful, if a payment remains unpaid after notice, or if a conflict of interest arises that we cannot resolve.

5. What we need from you

Our work is only as good as what we are given. You agree to:

  • Give us complete and accurate information about your business, and tell us promptly about anything that changes it.
  • Provide access to your financial accounts in the way your engagement letter describes, which is normally read-only access that you create and control, or a statement-retrieval service you authorize. We never move money and do not ask for your personal online-banking password where a read-only option exists.
  • Keep your own records and receipts. You are responsible for the business decisions you make and for the accuracy of what you tell us.
  • Review what we send you, including financial statements and draft tax returns, and tell us about errors or questions before anything is filed.
  • Respond to our requests in time to meet deadlines. If we cannot get what we need from you in time, the deadline is your responsibility.
  • Keep a valid payment method on file and keep your contact information current.

6. Tax returns and tax authorities

We prepare tax returns from the information you give us and the books we keep. We do not audit or verify that information. You remain responsible for the accuracy of every return you sign and for any tax, interest or penalty that results from information that was incomplete or wrong. Returns are filed only after you review and sign them.

If a tax authority contacts you about a return we prepared, tell us right away. Responding to notices, audits or collection matters is separate work under section 2, unless your engagement letter includes it.

Under IRS rules, we may not use or disclose your tax return information for any purpose other than preparing your return without your written consent. Where consent is required, including for certain disclosures to our service providers, we will ask for it in writing first and will not act until we have it. Nothing in this agreement is a substitute for that consent.

Our communications are not covered by attorney-client privilege. If you need legal advice, consult an attorney.

7. Confidentiality and how we handle your information

We keep your information confidential and use it only to do your work and run the firm. Our Privacy Policy, at profitsolutions.com/privacy-policy.html, is part of these terms. Everyone who handles client information for us, including our employees and service providers, is bound in writing to protect it and may use it only on our instructions. Some of the work on your account may be performed by personnel or service providers outside the United States under those same written obligations; where the law requires your consent for that, we obtain it first.

We may disclose your information when the law requires it, when you authorize it, or as needed to collect unpaid fees or defend a claim.

Electronic communication is convenient and not perfectly secure. You agree that we may communicate with you by email, phone, text message about your engagement, video meeting and secure file-sharing. We will not send full Social Security numbers or account numbers in ordinary email, and we ask that you do not either.

8. Electronic signatures and records

You agree that electronic signatures, including typing your name on our sign-up page, and electronic records are valid and enforceable, the same as paper. You agree to receive engagement letters, receipts, notices, financial statements and tax documents electronically at the email address you give us. You may request a paper copy of any document at any time, and you may withdraw consent to electronic delivery by written notice, which may require us to adjust how we work with you.

9. Our advice and no guarantees

Budgets, projections, recommendations and anything we say in a monthly meeting are professional judgment based on your numbers and what you tell us. They are advice to help you run your business; they are not predictions, and we do not guarantee any financial result, tax outcome, savings, refund, loan approval, or that a tax authority will accept any position. Business decisions are yours.

We will perform our services with the care and skill of a competent accounting firm. Except for that, we make no other warranty, express or implied.

10. Limits on our liability

To the fullest extent the law allows, our total liability to you for any claim arising out of our services or these terms, whatever the legal theory, is limited to the fees you paid us for the service that gave rise to the claim in the twelve months before the claim arose. We are not liable for indirect, consequential, incidental or special damages, or for lost profits, even if we were told they were possible.

We are not liable for loss caused by information you gave us that was incomplete or wrong, by your delay in responding to us, by your failure to review documents before they were filed, or by the acts of banks, payment processors, software providers or tax authorities.

You agree to indemnify and hold us harmless from claims and costs, including reasonable attorney fees, that arise from inaccurate or incomplete information you provided or from your breach of these terms.

Any claim relating to our services must be brought within one year after it arises.

11. Our website and sign-up page

profitsolutions.com and go.profitsolutions.com are provided as they are. We try to keep them accurate and available but do not promise they will be error-free or uninterrupted. Payment information you enter on the sign-up page is collected directly by our payment processor through its secure fields; we do not store full card or account numbers on our servers. Content on the site is general information, not advice for your situation.

12. Communications

By giving us your phone number you agree that we may call or text you about your engagement, your appointments and your account. We do not send marketing text messages. You may opt out of any marketing email with one click or one reply, and you may ask us to stop texting you at any time by replying STOP or by telling us.

13. Other terms

  • These terms, your engagement letter and our Privacy Policy are the whole agreement between us about our services and replace any earlier terms. If any part of these terms is found unenforceable, the rest still applies.
  • Florida law governs this agreement. Any dispute will be brought in the state or federal courts located in Alachua County, Florida, and both of us consent to that venue. In any dispute, the prevailing party may recover reasonable attorney fees and costs.
  • You may not assign this agreement without our written consent. We may assign it to a successor to our practice, in which case we will tell you in writing and you keep your right to cancel under section 4.
  • Neither of us is liable for delay caused by events outside our reasonable control, but you remain responsible for paying for work performed.
  • Notices to us go to support@profitsolutions.com or to our office address above. Notices to you go to the email address on your account.
  • We may update these terms. We will post the new version here with a new date and, for current clients, give at least 30 days’ notice of a material change by email. Continuing to use our services after that date is acceptance.
